End-User License Agreement.

The terms for connecting your QuickBooks Online company to North Hudson Bookkeeping Business Ops.

1. Agreement

This End-User License Agreement (the “Agreement”) is between North Hudson Bookkeeping LLC, a New Jersey limited liability company (the “Firm,” “we” or “us”), and the business whose QuickBooks Online company is connected to North Hudson Bookkeeping Business Ops (the “Application”), together with the individual who authorizes the connection on its behalf (collectively, the “Customer” or “you”).

By authorizing the Application's access to a QuickBooks Online company, you accept this Agreement and represent that you have authority to do so for that company. If you don't accept it, don't authorize the connection.

2. The Application

The Application is a private integration that the Firm operates to provide bookkeeping services to its clients under a separate written engagement letter (the “Engagement Letter”). It is not sold, licensed or offered to the public. You don't install or run any software; the Firm runs the Application on its own systems.

If this Agreement and the Engagement Letter conflict on the services to be performed, the Engagement Letter controls. This Agreement controls the Application's access to your QuickBooks Online company.

3. License and authorization

Subject to this Agreement, the Firm grants you a limited, non-exclusive, non-transferable, revocable right to authorize the Application's access to your QuickBooks Online company for the sole purpose of receiving the Firm's services.

You authorize the Firm, through the Application and Intuit's application programming interface, to read your company's accounting records and, where the Engagement Letter provides and you have approved the work, to create, correct and delete bookkeeping transactions. The Application does not initiate payments, transfer funds, submit payroll or file tax returns, and you do not authorize it to.

4. Your responsibilities

You will keep an active QuickBooks Online subscription, keep your own sign-in credentials confidential, provide complete and accurate source records, and tell us promptly about changes that affect your books. You remain responsible for your business decisions, your internal controls and your tax and legal obligations.

5. Your data

As between you and the Firm, your data remains yours. The Firm uses it only to provide the services in the Engagement Letter, keeps it confidential, and protects it with reasonable administrative, technical and physical safeguards. The Firm does not sell your data, use it for advertising, use it to train artificial-intelligence models, or disclose it to others except service providers bound to protect it (including, only if you authorize it in writing, an AI service provider that suggests how transactions are categorized and doesn't train on your data), as you direct, or as the law requires. Our privacy policy (/privacy/) describes our practices in more detail.

6. Intuit

Intuit Inc. is not a party to this Agreement and is not responsible for the Application or the Firm's services. Your use of QuickBooks Online is governed by your agreement with Intuit. QuickBooks and Intuit are trademarks of Intuit Inc.

7. Disconnection and termination

You may end the Application's access at any time by disconnecting it in QuickBooks Online (Settings, then Apps or My apps) or by written notice to the Firm. The Firm may end access when the Engagement Letter ends or if continued access would be unlawful or unsafe. When access ends, the Firm revokes the Application's authorization with Intuit and keeps your records only as the Engagement Letter and applicable law require. Sections 5, 6, 8, 9 and 10 survive termination.

8. Disclaimer

The Application is provided “as is” and “as available.” To the fullest extent permitted by law, the Firm disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. The Firm's obligations for the bookkeeping services themselves are set out in the Engagement Letter.

9. Limitation of liability

To the fullest extent permitted by law, the Firm will not be liable under this Agreement for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, and the Firm's total liability arising out of this Agreement will not exceed the fees you paid the Firm in the twelve months before the event giving rise to the claim. Nothing in this section limits liability that cannot be limited by law.

10. Governing law

This Agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey have exclusive jurisdiction over any dispute arising out of it.

11. Changes and notices

The Firm may update this Agreement by posting a revised version on this page and, for material changes, notifying connected customers by email. Continued use after the effective date is acceptance. Notices to the Firm go to mitt.patel@northhudsonbookkeeping.com.
